DRAFT — NOT EFFECTIVE — needs legal review

Legal draft

Terms of Service

Proposed terms for KP CAD Viewer Pro, from Kiviki Group. This draft is not a contract.

A full French translation of this legal draft is waiting for counsel. The text below is English.

Adaptation date: 31 October 2026. Status: draft. Owner and legal review are required before any customer relies on this text. Using the software or this website does not create an agreement based on this draft.

If counsel later approves a version of these terms, that version would govern KP CAD Viewer Pro and use of https://kivikigroup.com in connection with that software, provided by Kiviki Group ("Company," "we," "us," or "our"). HRNexus is a separate product and is not licensed under this draft.

1. Introduction

These Terms of Service ("Terms") are proposed wording. They are not effective. They describe access to and use of the KP CAD Viewer Pro software and the related pages on this website (together, the "Service").

The earlier draft said that purchasing, downloading, installing, or using the software binds the customer. That sentence is not operative while this document remains a draft.

2. Definitions

  • "Software" — The KP CAD Viewer Pro application, including executables, libraries, documentation, and updates that the Company actually ships.
  • "License Key" — A code intended to unlock paid functionality of the Software. How keys are issued is not final. See section 6.
  • "License File" — The earlier draft described a .kpcv file containing signed activation data. That file format has not been re-verified for this draft.
  • "End User" — A person or entity that uses the Software under a license, once a license program exists.
  • "Machine Fingerprint" — A hardware-derived identifier the earlier draft used to bind a license to a computer. The collection claims in section 8 are unverified.

3. License grants

3.1 Trial license

Carried forward from the earlier draft, and not verified against the application:

  • 30-day evaluation period from first launch.
  • Personal, non-exclusive, non-transferable, revocable.
  • No payment required.

The product page does not yet publish a trial download. The control marked TODO is a placeholder.

3.2 The only paid license in this draft

This draft describes one paid offer:

  • Price: 49 United States dollars (USD 49).
  • Perpetual license.
  • Single seat: one machine per license key.

The earlier draft of a "Standard" license also said the seat included one year of updates and support. That update window and support window are removed pending review. They are not part of the USD 49 offer in this draft.

3.3 Tiers removed pending review

The earlier draft described other licenses. They are not offered. This draft does not add replacement tiers:

  • Professional: up to three machines, priority email support.
  • Enterprise: unlimited installations, a dedicated account manager, phone support, custom deployment.
  • Educational / non-profit: a free or discounted license subject to approval.

4. License restrictions

Proposed wording. You may not:

  • Reverse engineer, decompile, or disassemble the Software.
  • Rent, lease, lend, sell, sublicense, or redistribute the Software.
  • Remove or alter proprietary notices.
  • Share license keys or license files with third parties.
  • Use the Software beyond the scope of a license you have purchased.
  • Attempt to bypass or circumvent licensing mechanisms.
  • Use the Software for illegal purposes.

5. Purchasing and payment

  • The only price stated in this draft is USD 49 for the perpetual single-seat license in section 3.2.
  • A checkout link is not published yet. The "Buy $49" control on the product page is a placeholder.
  • Payment would be due at the time of purchase.
  • Payment would be handled by our payment processor (e.g. Lemon Squeezy). Naming Lemon Squeezy is an example. It is not a guarantee that Lemon Squeezy will be the processor.
  • This draft says we do not store card numbers. The processor would handle payment details. That statement is unverified until a processor is connected.

Earlier drafts stated that prices were in INR, that GST at 18% applied to sales in India, and that payment methods included bank transfer and UPI. Those statements are withdrawn pending review. This draft states the price only in USD and does not set a tax amount. Tax treatment is for counsel to decide.

6. Delivery

  • Download is the intended delivery method. This draft does not offer physical media.
  • If license keys are delivered, the intended path is the payment processor (e.g. Lemon Squeezy). This draft promises no delivery time.

The earlier draft said license keys are emailed within 24 hours and that license files can be generated with a license dashboard tool. A license dashboard is not established and is not offered here. The 24-hour promise is removed pending review.

7. Updates and support

This draft does not promise an update period, a renewal price, a response time, phone support, training, custom development, or an account manager.

Earlier drafts described free minor updates during a support period, a possible fee for major upgrades, annual renewal at 20% of the then-current license price, and response times of 2 business days, 1 business day, or 4 hours depending on tier. Those statements are removed pending review, together with the tiers in section 3.3.

You may write to [email protected]. This draft does not define what a reply includes.

8. Machine fingerprinting and data collection

The following technical statements are carried from the earlier draft. They have not been verified against the shipped build. They are not a description of current practice until that check is done.

8.1 What the earlier draft said we collect

  • Machine fingerprint (a hash of hardware identifiers: Windows Machine GUID, system volume serial, and a hash of the primary physical network adapter MAC).
  • License key and activation status.
  • Software version and usage statistics, if telemetry is enabled.

8.2 How the earlier draft said we use it

  • To bind licenses to specific machines and limit sharing.
  • To verify license validity during activation.
  • To provide support and troubleshoot issues.

8.3 What the earlier draft said we do not collect

  • Personal files or CAD documents. We do not collect your CAD files.
  • Keystrokes, screen content, or user activity.
  • Network traffic or browsing history.

8.4 What the earlier draft said about storage

  • Machine fingerprints are stored locally on the machine, in the license file.
  • No fingerprint data is transmitted to our servers unless you submit a support request.
  • We do not maintain a centralized database of customer hardware.

See the Privacy Policy draft for the same claims, including registry paths the earlier draft named.

9. Refunds

Proposed wording, also set out on the Refund Policy page:

  • 14-day money-back period from the date of purchase.
  • Refunds would be issued to the original payment method.
  • A request must be sent by email to [email protected] with proof of purchase.
  • A refund may be refused if the license key has been activated on more machines than the license allows (one machine, under section 3.2), if the request is made after 14 days, or if the customer has violated these Terms.

This refund wording applies only to the USD 49 perpetual single-seat offer. It is not effective until counsel approves it.

10. Intellectual property

  • KP CAD Viewer Pro is proprietary software. Kiviki Group is the Company named as owner in this draft.
  • The Software is protected by copyright laws and international treaties.
  • A customer would receive a license to use the Software, not ownership of it.
  • Third-party components remain under their own licenses. The earlier draft pointed to THIRD-PARTY-NOTICES.txt shipped with the Software. Whether that file is complete still needs review before commercial redistribution.

11. Limitation of liability

Proposed wording from the earlier draft, with the company name updated. Counsel must decide whether it is enforceable:

  • THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
  • The Company is not liable for any damages arising from use of the Software.
  • Maximum liability is limited to the amount paid for the license in the 12 months preceding the claim.
  • The Company is not responsible for data loss. Users should keep backups.

12. Indemnification

Proposed wording: you agree to indemnify and hold harmless the Company from claims, damages, or expenses arising from your use of the Software in violation of these Terms. This sentence is not effective while the Terms are a draft.

13. Termination

  • The Company may terminate a license if you violate these Terms, once the Terms are in effect.
  • Upon termination, you must delete all copies of the Software.
  • Sections 10, 11, 12, and 14 would survive termination.

14. Governing law and disputes

  • These Terms are proposed to be governed by the laws of India, specifically the State of Karnataka.
  • Disputes would be subject to the exclusive jurisdiction of the courts in Bengaluru, India.
  • Before litigation, the parties would try to resolve the dispute through mediation.

Counsel should confirm that this choice of law and forum is appropriate for customers outside India.

15. Changes to these Terms

Proposed wording: the Company may update the Terms, continued use after changes constitutes acceptance, and material changes will be notified by email or through the Software. None of that applies to this draft. A later effective version needs its own notice practice, set by counsel.
